What is a No Objection Certificate (NOC) for Registered Office?
A No Objection Certificate (NOC) is a legal document issued by the owner of a property stating that they have no objection to a company or LLP using their property address as the registered office of the business. It is a mandatory attachment for company registration with the Ministry of Corporate Affairs (MCA).
When is the NOC Required?
The NOC from property owner is required under the following scenarios:
- Incorporating a new company (Private Limited, OPC, Public Limited) under the SPICe+ filing process.
- Registering a new Limited Liability Partnership (LLP) under the FiLLiP form.
- Shifting the registered office of an existing company to a new address (Form INC-22).
Who Signs the NOC?
The property owner (the individual or entity whose name appears on the property tax receipt or sale deed) must sign the NOC. If the property is owned by multiple co-owners, all co-owners or the authorized representative must sign the certificate.
Legal Requirements for Registered Office Proof
To register a property as a company's office address, the MCA requires:
- The signed No Objection Certificate (NOC) in the prescribed format.
- Utility bill of the premises (Electricity bill, Gas bill, Water bill, or Telephone bill) not older than 2 months.
- Proof of ownership (e.g., Sale deed, Property Tax Receipt, or Rent/Lease Agreement if rented).
